Amendment- 1 of Supplemental Provisions of Articles 6
(Adopting new policies)
Conflict of Interest Policy:
Sanma, its affiliates, and all officers and directors scrupulously shall avoid any conflict between their own respective personal, professional, or business interests and the interests of the organization in any and all actions taken by them on behalf of the organization in their respective capacities.
In the event that any Officer, or Director of the organization shall have any direct or indirect interest in, or relationship with, any individual or organization which proposes to enter into any transaction with the Association, including but not limited to transactions involving:
- Sale, purchase, lease or rental of any property or other asset
- Employment, or rendition of services, personal or otherwise
- Award of any grant, contract, or subcontract
- Investment or deposit of any funds of the Association
Such person shall give notice of such interest or relationship and shall thereafter refrain from engaging in making decisions regarding the particular transaction in which he has an interest, and will not attempt to exert any influence on the Association, or its components to affect such decision or transaction.
Performance Evaluation Policy:
James George, the Executive Director of the Board of Directors, requested that SANMA adopts a performance evaluation policy on the following matters:
- Annual performance of the CEO/President/Executive Director for improvement in the quality of the organization
- Annual performance of the projects/ programs of the organization in achieving the mission and objectives of the organization
These evaluations may be written and submitted to the governing body for future references and actions. |
